Audit clause
Audit clause: An audit clause is the contract provision that allows the licensor (typically through an external audit firm) to review the licensee's royalty calculations and supporting sales data for a specified historical period — usually the prior 1–3 years. Audit clauses are standard in licensing agreements and trigger audit cycles that licensees must defend.
